Privacy Pass Terms & Conditions

These Terms and Conditions are edited by:

iExec Blockchain Tech, a simplified joint stock company with a (minimum) variable capital of € 1.000, registered with the Lyon Trade and Companies Register under number 823 070 925, whose registered office is located at 25 rue Jules Valensaut, 69008 Lyon, France.

These Terms and Conditions form a legally binding agreement between you and iExec – please read them carefully.

  1. DEFINITIONS

For the purposes of these Terms and Conditions, any capitalized terms shall have the meaning assigned as follows:

  • Confidential Computing: means technology implemented and deployed by iExec, using Intel SGX (Software Guard Extensions) ensuring confidentiality of data through encryption of sensitive data and preventing unauthorized exposure.
  • Exec: refers to the company iExec Blockchain Tech, a simplified joint stock company with a (minimum) variable capital of € 1.000, registered with the Lyon Trade and Companies Register under number 823 070 925, whose registered office is located at 25 rue Jules Valensaut, 69008 Lyon, France;
  • iExec Privacy Pass: refers to the Privacy Pass program allowing Users to control their Personal data and benefit from Marketing Campaign initiated by Announcers in exchange for a remuneration in RLC Token.
  • iExec secret Management Service: means the technology used by iExec to secure the Users’ e-mail address.
  • Party: means iExec or a User.
  • Personal Data: designates all data that directly or indirectly identifies a natural person.
  • Privacy Pass Services: refers to the services carried out by iExec to Users on its iExec sidechain consisting in protecting Users against disclosure and theft of their personal data and offering such Users to earn LRC Tokens in exchange for reception of dedicated e-mails from Announcers deploying Marketing Campaigns. The Privacy Pass Services consists in allowing Announcers to send marketing e-mails to Users without storing or knowing the User’s personal e-mail address by implementing a technical additional layer of confidentiality of User personal data and building an encrypted Privacy Pass.
  • RLC Token: refers to the utility token RLC (ERC 20 standard);
  • T&C: refers to the present Terms and Conditions;
  • User(s): refers to any natural person or legal person using the services offered by iExec or visiting its website with a full legal capacity and who is not acting for purposes relating to his trade, business, craft, or profession;
  • User Account: refers to a private virtual space that the User may have on the Website and which can be accessed by means of a login and password combination;
  • Wallet: refers to an electronic wallet, allows the purchase, store, and engage in transactions using virtual currency;

  1. PURPOSE OF THE T&C

The purpose of these T&C is to present and state the conditions of use of the Website, and notably to define under which conditions a User may access the iExec Privacy Pass and use the Privacy Pass Services and receive RLC Tokens in exchange.

The User declares that he has read and accepted these T&C.

  1. ACCESS TO THE WEBSITE AND REGISTRATION

3.1 ACCESS

Access to the Website is free for any User with internet access. The cost related to the access to the Website, whether hardware, software, or internet access cost, is exclusively at the User’s expense.

The User is solely responsible for the proper functioning of his computer equipment and his internet access. iExec cannot be held responsible for the proper functioning of the User’s computer equipment and his internet access.

The Website is accessible 24h a day and 7 days a week, except during maintenance upgrades.

Due to the nature and the complexity of the internet network and, in particular, its technical performance and response time for consulting, querying, or transferring information data, iExec makes its best efforts to allow access to and use of the Website and the Privacy Pass Services offered. iExec cannot guarantee the absolute accessibility or availability of the Website.

iExec reserves the right, without notice or compensation, to temporarily close the Website or access to one or more Privacy Pass Services, in particular, to carry out an update, maintenance operations, modifications, or changes to operational methods, servers, and hours of accessibility, without this list being exhaustive.

iExec reserves the discretionary right to complete, delete or modify, at any time, the Website and the Privacy Pass Services available on it.

  1. REGISTERING ON IEXEC WEBSITE

In order to access to the Website, the User shall create a user access register by:

  • Providing the address of his Wallet or creating a Wallet via a third-party platform; and
  • Providing his username, a valid e-mail address, to which he will receive a confirmation of his registration; and
  • Accepting the T&C.

All data collected is processed in accordance with Article 8 and the Privacy Policy of the iExec Privacy Pass.

  1. WHITELISTING OF USERS

Once the registration is completed, iExec will send an email to the User to confirm their inscription.

Only valid Ethereum wallets can be whitelisted.

  1. SIGNING-UP FOR iEXEC SECRET MANAGEMENT SERVICE

Users which are already whitelisted on iExec, can benefit from the Privacy Pass Services by USING iExec Secret Management Service functionalities:

  • Connecting their Wallet and switching to the iExec Bellecour Sidechain;
  • Protecting their e-mail address by signing and confirming multiple transactions in their Wallet allowing protection of their data by benefiting of data encryption key used within the iExec Secret Management Service and being provided with a secured e-mail address confirmation.
  1. USING DASHBOARD FOR SUBSCRIBING TO MARKETING CAMPAIGNS

The Users can view the list of Marketing Campaigns on the Dashboard.

If they wish to participate in a Campaign, they must confirm that they wish to join by clicking on the “join” function.

Marketing Campaign include information about the nature and purpose of the Marketing Campaign.

They must then validate transactions with their Wallet to authorize access to the Marketing Campaign and received dedicated e-mails.

  1. EARN OF RLC TOKENS

The Users who subscribe to Marketing Campaigns will receive RLC Tokens as rewards.

RLC Tokens, granted as rewards, are purchased and paid by the companies subscribing to Marketing Campaigns as announcers.

The RLC Tokens granted as rewards will be attributed to Users in their wallet once the e-mail from the Announcer is received by the User.

Attribution of RLC Tokens as reward to the Marketing Campaign is not guaranteed.

Such attribution will depend on:

  • Availability of the partners sending e-mails,
  • The price set for receiving e-mails.
  1. USER’S LIABILITY

The User shall abide by any obligation imposed upon him by these T&C. The User undertakes to use the Website only in accordance with the T&C. The User undertakes that he will not use the Website, fraudulently. The User assumes full responsibility for any breach of the T&C. In case of breach of the T&C by the User, the User is informed that his User Account may be suspended or deleted, without prior notice or compensation.

The User is solely responsible for the data, files, and other content that he enters into the Website and in the course of using the iExec Privacy Pass. In particular, the User is responsible for the accuracy and legality of such data, files, and other contents.

The User shall remain personally and fully responsible for all legal obligation incumbent on him, in particular in relation to tax and social security obligations. The User is informed that receiving RLC earnings is likely to constitute an income subject to tax and social contributions.

  1. IEXEC’S LIABILITY

iExec undertakes to provide its best efforts to ensure the use of the Privacy Pass Services provided on the Website.

iExec shall not be held liable for:

  • any change in legislation which renders the Privacy Pass Services offered and carried out on the Website unavailable in whole or in part;
  • breakdowns or malfunctions of the Website and/or the WP Workerpool;
  • any illegal use of the Website and/or WP Workerpool by a User;
  • a malfunction or a cyberattack;
  • any event linked to data entered by a User or a setting made by a User.

In any case, and in the event of failure of the Privay Pass Services provided on the Website, iExec shall only be responsible for direct and reasonably foreseeable damage, unless otherwise provided by law or regulation. Indirect damages are expressly excluded.

  1. PERSONAL DATA

iExec collects and processes some User’s Personal Data.

As such, iExec is responsible for processing within the meaning of EU Regulation 2016/679 on the protection of Personal Data (“GDPR”).

The User may access further information regarding the processing carried out and the rights it has in the Privacy Policy of the Website.

iExec collects and processes all data in mailchimp.

  1. INTELLECTUAL PROPERTY

All intellectual property rights attached to any content published on the Website, including the content generated by the Users, are the property of iExec, and are provided free of charge to and by the Users, within the exclusive framework of the use of the Website.

Therefore, any unauthorized use of these contents is unlawful.

  1. ASSUMPTION OF RISK

The User accepts and acknowledges:

  • The regulatory regime governing blockchain technologies, non-fungible tokens, cryptocurrency, and other crypto-based items is uncertain, and new regulations or policies may materially adversely affect the development of the Privacy Pass Services and the utility of RLCs.
  • iExec do not control the public blockchains that you are interacting with and we do not control certain smart contracts and protocols that may be integral to your ability to complete transactions on these public blockchains. Additionally, blockchain transactions are irreversible and iExec has no ability to reverse any transactions on the blockchain.
  • There are risks associated with using the Internet and blockchain-based products, including, but not limited to, the risk associated with hardware, software, and Internet connections, the risk of malicious software introduction, and the risk that third parties may obtain unauthorized access to your third-party wallet or Account. You accept and acknowledge that iExec will not be responsible for any communication failures, disruptions, errors, distortions or delays you may experience when using the Service or any Blockchain network, however, caused.
  1. MISCELLANEOUS

13.1 DISCRETION

In the event of difficulties between the User and iExec, no Party may report any grievance to anyone other than a court officer, a judge, or a regulator.

A fortiori, each party shall refrain from mentioning such difficulties on social networks, platforms, on any blog and more generally on dematerialized means of communication. The delicacy being inherent to the contractual relation, any violation of this obligation will generate the obligation for the indelicate Party to pay the other Party up to a sum equal to € 1000.

  1. NULLITY

If one or more stipulations of these T&C are held to be invalid or declared as such in the application of a law, a regulation or following a decision that has become final and conclusive by a competent court, the other stipulations will retain their full force and scope. iExec will then amend the T&C accordingly.

  1. ABSENCE OF WAIVER

No act, delay in acting, or any other attitude, passive or active, on the part of one of the Parties shall be deemed to constitute for that Party a waiver of any of the rights and actions of which it is a creditor under the T&C unless such waiver is evidenced in writing signed by a duly authorized representative.

  1. LANGUAGE

These T&C have been drafted in English and French language.

The French version of these T&C shall prevail over any other translation in the event of any dispute, litigation, or difficulty in interpreting or executing these T&C.

  1. APPLICABLE LAW

These T&C are governed by French law.

  1. LITIGATION

All disputes or claims arising out or in connection with these T&C including disputes relating to its validity, breach, termination or nullity, and any disputes or claims arising out or in connection with the use of the Website between iExec and a User shall result in the latter to undertake to send an e-mail to iExec, explaining the purpose of his request or claim, and providing any information relating to the subject and scope of his request or claim, with the aim of finding an amicable settlement: contact@iex.ec.

In case no amicable settlement is found between the Parties, the User may seize the competent jurisdiction with territorial jurisdiction under the law. In the event of no mandatory jurisdiction by the law, the commercial court of Lyon (France) shall have sole jurisdiction.
